These are the default terms for engaging AIflowiz. Specific projects may have a custom MSA that takes precedence — but everything here is the floor.
1. Scope
We deliver what's in the signed proposal. Anything outside that scope is a new engagement, quoted separately. We never bill hourly.
2. Payment
- 50% on signature, 50% on first ship
- Net-15 after each milestone
- Late fees of 2%/month on unpaid balances over 30 days
3. Refund guarantee
If a proof-of-concept fails to meet the success metric stated in the proposal within 14 days of v1 ship, you get the engagement fee refunded. We've invoked this twice in 2 years.
4. IP ownership
On final payment, all custom code and prompts transfer to you. We retain rights to generic utilities, internal tooling, and patterns that pre-existed the engagement.
5. Liability
Our liability is capped at the fees you paid in the 12 months prior to the claim. We're not liable for downstream business decisions made on top of AI output — humans review.
6. Termination
Either side can end the engagement with 14 days' notice. Work-in-progress is invoiced pro-rata; no kill fees.
